Introduction

Structuring & Execution (S&E) is Temasek’s in-house M&A specialist team within the Investment Group. The team focuses on structuring and executing large and complex transactions across industries globally, including public & private M&A, joint ventures, spin-offs, capital raises, and restructuring (among others).

The successful candidate will be joining a lean and highly collaborative team, working closely with various teams across the Temasek ecosystem to deliver impactful outcomes.

Key Focus Areas

  • Deal Structuring: Develop and execute transaction structures to achieve Temasek’s investment and/or divestment objectives
  • Financial Analysis: Evaluate financial impact of transaction structures and assist with financial modelling, returns evaluation and due diligence
  • Documentation: Assist in reviewing investment term sheets and transaction documents, with a focus on commercial and financial aspects
  • Overall Execution: Assist in managing the overall transaction processes, proactively addressing issues & risks and coordinating with internal and external stakeholders to drive successful outcomes
Responsibilities
  • Participate in structuring and execution of complex investments and divestments
  • Collaborate with industry, markets and portfolio development teams, alongside legal, tax and finance teams to assess and structure deals
  • Assist in review transaction terms and documents
  • Conduct in-depth financial analysis of potential transaction structures
  • Prepare recommendations to deal teams and senior management
Requirements
  • Relevant experience of at least 2-5 years with a top-tier private equity, investment bank, corporate finance/M&A firm
  • Ability to thrive in fast-paced environments while managing multiple priorities
  • Proactive and keen solutions-oriented mindset
  • Advanced analytical thinking and financial modelling capabilities
  • Strong communication, interpersonal and teamwork skills
  • Proficiency with data tools such as Bloomberg, Capital IQ, and Factiva
  • Note: Deal structuring experience is not a requirement
