Introduction
Structuring & Execution (S&E) is Temasek’s in-house M&A specialist team within the Investment Group. The team focuses on structuring and executing large and complex transactions across industries globally, including public & private M&A, joint ventures, spin-offs, capital raises, and restructurings (among others).
The successful candidate will be joining a lean and highly collaborative team, and will be expected to play a leadership role in the structuring and execution of complex transactions, while working closely with various teams across the Temasek ecosystem to deliver impactful outcomes.
Key Focus Areas
- Deal Structuring: Develop, recommend and execute transaction structures to achieve Temasek’s investment and/or divestment objectives
- Financial Analysis: Evaluate financial impact of proposed transaction structures
- Negotiation and Documentation: Lead review and negotiation of investment term sheets and transaction documents, with a focus on commercial and financial aspects
- Overall Execution: Develop and manage overall transaction processes, proactively addressing issues & risks, and coordinating with internal and external stakeholders to drive successful outcomes
Responsibilities
- Lead deal teams and significant transaction workstreams to drive outcomes in structuring and execution of complex investments and divestments
- Collaborate with industry, markets and portfolio development teams, alongside legal, tax and finance teams to provide advice and leadership on deal assessment and structuring
- Drive review and negotiation of transaction terms and documentation
- Prepare and oversee in-depth financial analysis of potential transaction structures and providing views to deal teams and senior management
- Manage interactions with internal stakeholders, external advisors and counterparties, including leading selected commercial discussions and negotiations
- Coach and develop junior team members, helping to build structuring judgment, execution discipline and transaction management capability
Requirements
- 10+ years of relevant experience with a top-tier private equity firm, investment bank, corporate finance / M&A firm, corporate development team or internal M&A function
- Seasoned transaction professional with strong execution discipline, practical structuring judgment and sound commercial instincts
- Comfortable leading complex and ambiguous transaction situations, working across multiple stakeholders and translating commercial objectives into executable deal solutions
- Strong analytical and advisory skills, with the ability to assess structuring trade-offs across value creation, risk allocation and execution feasibility
- Hands-on, collaborative and solutions-oriented, with a proven ability to manage multiple projects independently under tight timelines
- Ability to build trusted relationships within and outside the firm, and to guide, mentor and inspire junior colleagues
- Excellent communication, interpersonal and teamwork skills
